Erik advises clients on a broad range of corporate, business, and financial matters across multiple industries. He has extensive experience assisting clients with formation, governance, mergers, acquisitions, and restructuring within a number of different industries, including technology, construction, banking, manufacturing, and utilities.
Before joining Moss & Barnett, Erik worked for PricewaterhouseCoopers in its tax and transfer pricing group. In that role, he learned to understand the operational side of clients’ businesses and how to better align operations with company objectives. Erik continues to interact closely with clients to understand their operations as he advises them on broad corporate matters. He also has experience with cooperatives and regulated entities.
Representative Experience
- Lead Counsel, Sale of Telecommunications Company: Led the legal strategy and execution for the sale of a regional telecommunications company. Negotiated all definitive transaction documents and successfully navigated complex closing conditions.
- Lead Counsel, Sale of Technology Company: Spearheaded the legal strategy and execution for the sale of a nation-wide IT service provider to a national industry consolidator. Led negotiations of all final transaction documents and navigated complex closing conditions, resulting in a successful transfer of ownership and assets.
- Complex Restructuring of Telecom Consortium: Guided a consortium of telecommunications providers through a complex corporate restructuring, which included the strategic transfer of service providers and assets among entities and a complex debt and equity structures, ensuring compliance with regulatory requirements and minimizing operational disruption throughout the restructuring process.
- Outside General Counsel: Currently serve as primary outside general counsel for a diverse portfolio across several industries, including manufacturing, telecommunications, and professional service sectors. Provide legal guidance on day-to-day operations, including contract negotiation, corporate governance, intellectual property protection, employment matters, and dispute resolution. Act as a trusted strategic advisor to executive teams on critical business decisions, risk mitigation, and compliance with industry-specific regulations.
- Boards of Directors: Regularly serve as a trusted advisor to boards of directors and executive leadership, providing ongoing guidance on corporate governance, best practices, shareholder relations, and strategic business initiatives.
- Complex Mergers & Acquisitions: Regularly advise private companies, as well as private equity funds, on mergers, acquisitions, and divestitures ranging from $2 million to $2 billion in value. Managed and participated in all phases of transactions, including structuring, Letter of Intent negotiation, due diligence, drafting and negotiating purchase agreements, and post-closing integration issues.
- Contracts and Agreements: Regularly draft, negotiate, and advise on a wide range of complex commercial agreements, including supply chain contracts, licensing agreements, joint venture agreements, and master service agreements.
